INSTITUTE OVERVIEW

HudsonAlpha Institute for Biotechnology is a genomic science and applications nonprofit organization. It is a high-volume genomic data producer and a global scientific collaborator valued for genomic data analysis and interpretation to solve questions in cancer, undiagnosed childhood genomic disorders, neuro-psychiatric disorders, immune-mediated disease, agriculture and more. Its unique campus crosses the boundaries between scientists, educators, and commercial business to spark innovation and growth.

DEPARTMENT OVERVIEW

The Office of Legal Affairs and Compliance (OLAC) is responsible for counseling the organization, its subsidiaries, and its leaders across a wide range of substantive legal and regulatory areas, including corporate governance, commercial transactions, research affairs, HIPAA and data privacy/security, clinical testing, intellectual property, technology transfer, export controls, tax exempt status, faculty affairs, and employee relations. OLAC attorneys are expected to become conversant with all of HudsonAlpha's activities and to practice as generalists, with a willingness to learn new subject matter and assume a diverse mix of assignments.

POSITION SUMMARY

Provides sound, thorough and timely legal advice in support of HudsonAlpha's research and operational objectives

JOB SPECIFIC TASKS

  • Help manage HudsonAlpha's and the HudsonAlpha Foundation board of directors and board committee affairs; draft minutes and resolutions; assist in implementing conflict of interest and conflict of commitment review policies;
  • Develop policies and procedures to address HudsonAlpha's myriad legal compliance obligations; assist in staff training regarding these obligations;
  • Provide practical support to other HudsonAlpha departments in drafting, reviewing and negotiating contractual arrangements of all kinds, including research grant and collaboration agreements, research service agreements, research Material Transfer Agreements, equipment purchase agreements, customer supplier and service agreements, and consultant contracts;                  
  • Provide counsel on current or proposed federal, state, or other government measures that may affect HudsonAlpha's operations or those of its health related subsidiaries. This includes, for example, questions on the application or interpretation of laws related to areas such as privacy and the management of health information, the conduct of clinical testing, and labor and employment practices;
  • Help manage HudsonAlpha's intellectual property, including review of invention disclosures, oversight of external patent counsel, communication with faculty inventors, and development and negotiation of corporate sponsored research and technology transfer agreements, all in partnership with HudsonAlpha's IP & Industry Partnership Coordinator, and as appropriate, with administrators at affiliated academic institutions;
  • Assist as needed with HudsonAlpha responses to external inquiries or complaints from federal, state or local agencies, or non-governmental parties, that may raise legal or other significant issues for HudsonAlpha;
  • Review and advise on any legal issues related to external corporate communications and endorsements;
  • Support the activities of HudsonAlpha's supporting foundation, the HudsonAlpha Foundation, including reviewing, preparing and interpreting gift agreements;
  • Provide practical advice and counsel to HudsonAlpha's human resources professionals on labor and employment issues;
  • Assist in assuring compliance with applicable regulations, including HIPAA, HITECH, grant administrative regulations, and federal contracting regulations

EDUCATION AND REQUIRED SKILLS EXPERIENCE

Education and Experience:

J.D. degree from a law school accredited by the American Bar Association;

Admitted to practice in Alabama;

5-7+ years of experience practicing law in a Federal contracting or research organization, or hospital, or in a top-tier law firm required; and, for law firm candidates, corporate, higher education, healthcare or Federal contracting experience strongly preferred.

Required Skills:

  • Strong corporate governance, transactional experience, and business acumen required, as well as excellent contract drafting and negotiation skills;
  • Science background and knowledge of patient privacy and clinical research laws and regulations helpful;   
  • Ability and willingness to handle a variety of tasks across a broad range of substantive areas and to learn new areas quickly;
  • Ability to work independently;
  • Strong attention to detail;
  • Excellent judgment;
  • Superior verbal and written communication and interpersonal skills, and demonstrated success in relating to many different constituencies;
  • Highly developed strategic and conceptual/analytical skills;
  • Ability to work in a fast-changing, intellectually demanding environment;
  • Ability to make decisions and prioritize work with sensitivity to the importance of the issues and constituencies involved, and to balance information-gathering with timely action.

PHYSICAL REQUIREMENTS AND ENVIRONMENTAL CONDITIONS

The physical requirements and environmental conditions of this position consist primarily of:

  • Frequent standing, sitting and walking
  • Continuous mental and visual attention, requiring constant alertness or activity.
